CLIENT AGREEMENT

This agreement is between UniTerra Telecommunications, Inc.,subsidiary of EMERgency24, Inc., and the person(s) submitting this form hereinafter referred to as Client. The purpose of this agreement is to set forth the terms for worldwide message transmissions by Client with UniTerra's Messaging System. Client is responsible for the content of its documents. Client will insure that no document contains obscene, pornographic, slanderous or illegal material or information promoting illegal activity.

Charges for the Client's transmissions are based on history and billed monthly. Invoices will be sent by UniTerra to the Client on or about the 5th of the month. Payments are to EMERgency 24, Inc., and may be made by Visa/Mastercard (automatic payment plan) or wire transfer (both are fast and secure methods), check, travelers cheque or money order and is due by the 1st of the following month. Payments should be mailed to: EMERgency24, Inc.,4179 W. Irving Park Road, Chicago, IL 60641. Payment is considered late on the 10th of the following month and a late fee up to 5 percent of the total amount due will be assessed. If payment is not received by the 15th of that month, Client 's service is subject to cancellation.

Companies or Individuals with less than five years in business and/or with a Dun & Bradstreet rating of greater than 3 must make a security deposit equal to the expected consumption of 45 days usage. Every month you will be billed 45 days of use, adjusting for prior balance not used in order to avoid interruption of service. Any balance will be returned upon cancellation. Monthly consumption may not exceed the security deposit. The security deposit must clear before the use of UniTerra's services is authorized.

You must pay a minimum of USD $50 in advance and take as long as needed to consume that amount. When your balance reaches $20 you will be billed another $50 for future use. Any balance will be returned upon cancellation. Charges are incurred only when connections are achieved. All connected messages are subject to a 30 second minimum charge. Additional time is billed in 6 second increments based on the minute rate.

By submitting this form, I agree to pay for all transmission minutes executed through the Uniterra Messaging system and to respect the operating procedures and Client Agreement of UniTerra Telecommunications, Inc.
